1. Introduction

These Terms and Conditions govern your access to and use of Smart Car Tracker, including the websites www.smartcartracker.com, app.smartcartracker.com, associated mobile applications, tracking devices and related services.

Smart Car Tracker is a product developed and operated by OXUS HUB LTD, a company registered in England and Wales under company number 17422849. References to “OXUS HUB LTD”, “Smart Car Tracker”, “we”, “us” or “our” mean OXUS HUB LTD.

By creating an account, purchasing a product or subscription, installing a tracking device or otherwise using the services, you agree to these Terms and Conditions. If you do not agree to these terms, you must not use the services.

2. Services Provided

Smart Car Tracker provides vehicle-tracking and telematics services. Depending on the product or subscription selected, these services may include real-time or near-real-time location tracking, route history, vehicle status information, alerts, reports, data storage and analytics.

The exact features, prices, subscription periods and hardware included in your purchase will be described on our website, application, checkout page, quotation or order confirmation.

We may improve, update or modify the services from time to time. If a change materially reduces a paid service, we will provide reasonable notice where practicable.

3. Important Service Limitations

Smart Car Tracker relies on GPS satellites, mobile networks, internet connectivity, compatible devices, external service providers and a sufficient power supply. Location information may therefore occasionally be delayed, inaccurate or unavailable.

We do not guarantee uninterrupted or error-free operation. The service is not an emergency service and must not be relied upon as the only means of protecting a vehicle, preventing theft, recovering a stolen vehicle or protecting a person from harm.

You should contact the police or appropriate emergency services where a vehicle has been stolen or a person may be in danger.

4. Accounts and Security

You must provide accurate and current information when creating an account.

You are responsible for protecting your login details and for activity performed through your account. You must notify us promptly at [email protected] if you believe that your account, password or tracking device has been accessed or used without permission.

You must not share account access with anyone who is not authorised to view the relevant vehicle or location information.

5. Lawful Use of Tracking Devices

You may install or use a Smart Car Tracker device only on a vehicle that you own or where you have the lawful authority and permission required to track it.

You must not use the services for covert, unlawful, misleading, discriminatory or harmful surveillance. You must comply with applicable privacy, employment, data-protection and surveillance laws.

If you track vehicles used by employees, contractors, customers, family members or other drivers, you are responsible for providing any required notices, obtaining any necessary permissions and establishing a lawful basis for collecting and using their location information.

You must not use the services to harass, intimidate, stalk or unlawfully monitor another person.

6. Data Collection and Processing

The services may process information including account and contact details, vehicle details, device identifiers, IP addresses, GPS location information, journey history, timestamps, alerts, activity records and technical diagnostic information.

We process personal information as described in the Smart Car Tracker Privacy Policy.

When we provide services directly to an individual customer, OXUS HUB LTD may act as the data controller for personal information processed in operating that customer’s account.

Where a business or organisation uses Smart Car Tracker to monitor its vehicles, employees or drivers, that customer may act as the data controller and OXUS HUB LTD may act as its data processor. Where required, the parties may enter into an additional data-processing agreement.

7. International Data Storage and Transfers

Certain information used to provide Smart Car Tracker may be stored or processed in Hong Kong or other countries outside the United Kingdom.

Where personal information is transferred internationally, OXUS HUB LTD will use the safeguards required by applicable data-protection law. Depending on the circumstances, these may include contractual safeguards, a UK International Data Transfer Agreement, a UK Addendum or another legally permitted transfer mechanism.

8. Customer Responsibilities

You are responsible for ensuring that tracking devices are installed, powered, maintained and used according to the applicable instructions.

You are responsible for checking that the services are suitable for your requirements and that the contact, vehicle and payment details connected to your account remain accurate.

You must not interfere with the normal operation or security of the services, attempt to gain unauthorised access, introduce malicious software, reverse engineer protected parts of the software or use the services in a way that could damage our systems or affect other users.

9. Prices, Payments and Subscriptions

Prices, taxes, billing periods, renewal arrangements and payment terms will be displayed at checkout or included in your quotation or order confirmation.

Where a subscription renews automatically, the applicable renewal period and cancellation process will be explained before purchase. You authorise us or our payment provider to collect applicable recurring charges until the subscription is cancelled.

If a payment is overdue or unsuccessful, we may restrict or suspend the affected services after giving reasonable notice, where appropriate.

10. Consumer Cancellation Rights

If you are a consumer purchasing online or at a distance, you may have a legal right to cancel your order within 14 days, subject to applicable exceptions.

If you ask us to begin providing a service during the cancellation period, you may be required to pay for the portion of the service supplied before cancellation. Where digital content is supplied immediately, your cancellation right may be affected if you expressly consent to immediate supply and acknowledge the effect on that right.

Hardware returns, deductions for diminished value and return costs will be handled according to applicable law and the information provided when you placed the order.

Nothing in these Terms and Conditions limits your statutory consumer rights.

11. Intellectual Property

All intellectual property rights in Smart Car Tracker, including its websites, applications, software, designs, branding, databases and documentation, belong to OXUS HUB LTD or its licensors.

We grant you a limited, non-exclusive, non-transferable and revocable right to use the services for their intended purpose while your account or subscription remains active.

You must not copy, sell, license, distribute, modify or commercially exploit any part of the services unless we have given you written permission or applicable law expressly permits it.

12. Third-Party Services

The services may depend on or contain links to third-party services, including mobile networks, mapping platforms, hosting providers, payment processors and application stores.

We are not responsible for third-party services outside our reasonable control. Your use of those services may also be governed by the third party’s own terms and privacy policies.

13. Suspension and Termination

You may cancel your subscription or stop using the services in accordance with the cancellation arrangements shown in your account, order confirmation or subscription plan.

We may suspend or terminate access if you materially breach these terms, fail to pay applicable charges, use the services unlawfully, create a security risk or misuse another person’s information.

Where reasonably possible, we will provide notice and an opportunity to correct the issue before suspension or termination. Immediate action may be taken where necessary to protect users, personal information, our systems or the public.

After termination, access to tracking information may end. Personal information will be retained or deleted in accordance with our Privacy Policy, legal obligations and any applicable data-processing agreement.

14. Liability to Consumers

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these terms or our failure to use reasonable care and skill.

We are not responsible for losses caused by circumstances outside our reasonable control, unlawful use of the services, incorrect installation, loss of power, mobile-network failure or failure to follow our instructions.

We do not exclude or limit liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Nothing in these terms affects your statutory consumer rights.

15. Liability to Business Customers

If you use the services for business purposes, OXUS HUB LTD will not be liable for loss of profits, revenue, business, anticipated savings, goodwill, data or any indirect or consequential loss, except where such liability cannot lawfully be excluded.

Subject to liabilities that cannot legally be limited, our total aggregate liability relating to the services will not exceed the total amount paid by you for the affected services during the 12 months immediately preceding the event giving rise to the claim.

Business customers are responsible for claims arising from their unlawful use of the services, their failure to obtain required permissions or notices, or their infringement of another person’s rights.

16. Events Outside Our Control

We will not be responsible for delays or failures caused by events outside our reasonable control. These may include natural disasters, power failures, telecommunications failures, satellite or GPS disruption, cyberattacks, industrial disputes, government action, war or failures by essential third-party providers.

We will take reasonable steps to minimise the effect of such events where practicable.

17. Changes to These Terms

We may update these Terms and Conditions to reflect changes in the services, applicable law, security requirements or our business operations.

Where changes materially affect your rights or a paid service, we will provide reasonable advance notice through the website, application, email or another appropriate method.

The updated terms will apply from the effective date stated in the revised document. Changes will not remove rights that you have already acquired under applicable law.

18. Governing Law and Disputes

These Terms and Conditions are governed by the laws of England and Wales.

If you are a consumer, you retain any mandatory protections provided by the law of the country in which you normally live. You may bring proceedings in the courts available to you under applicable consumer law.

If you are a business customer, the courts of England and Wales will have exclusive jurisdiction over disputes arising from these terms.

We encourage you to contact us first so that we can attempt to resolve any concern informally.

19. General Provisions

If any part of these Terms and Conditions is found to be unlawful or unenforceable, the remaining provisions will continue in effect.

A delay in enforcing a right does not mean that the right has been waived.

You may not transfer your rights or obligations under these terms without our written agreement. We may transfer our rights or obligations as part of a business reorganisation, sale or transfer, provided this does not materially reduce your protections.

Unless expressly stated otherwise, no person other than you and OXUS HUB LTD has the right to enforce these terms.
